Commercial & Other Experience

In addition to construction matters, Ms. Underwood has represented clients and served as an arbitrator in commercial and other types of disputes, among those are the following:

  • Served as sole arbitrator or panel member of commercial arbitration disputes involving breach of contract, shareholder disputes, commercial distributorship matters, creditors rights, real estate transactions, performance of national call center services, general liability insurance claims, lending institution proceedings, land sales contracts, breach of business purchase and sale agreement, and franchise agreements.

  • Represented manufacturing firms in international multi-million dollar arbitration dispute with distributor concerning domestic and international licensing and supply agreements. Issues included breach of contract, breach of duty of good faith and fair dealing, FDA approvals, sales projections, acquisition of competitive product, royalty payments, and marketing obligations.

  • Represented manufacturer of skylights and accessories in dispute with purchaser and commercial carrier over the terms of a purchase order and the risk of loss while the goods were in transit. Issues included breach of contract, conflict of laws and the Uniform Commercial Code. 

  • Represented corporation in civil and criminal action against former employee who embezzled funds while serving as corporation’s bookkeeper. Issues included location and apprehension of perpetrator working under an assumed name in a different locale, civil theft, RICO, insurance claims, the Uniform Commercial Code, banking law, and equitable relief. 

  • Represented manufacturer of wood siding in defense of numerous claims by large residential property developer. Issues included statute of frauds, Uniform Commercial Code, breach of an express limited warranty, waiver, breach of implied warranty and fitness for a particular purpose, and indemnification.

  • Representation of a commercial business in a claim against an insurance company. Issues included improper assessment of workers compensation premiums, Florida statutes concerning workers compensation, industry regulatory and auditing manuals, defamation and breach of the duty of good faith and fair dealing.

  • Represented six women in a multi-million dollar dispute with an entertainment company concerning their working conditions as entertainers. Issues included invasion of privacy, breach of warranty, negligent supervision, negligent retention, and complaints of sexual harassment in violation of the EEOC, Title VII. See Liberti v. Walt Disney World Co., 912 F. Supp. 1494 (M.D. Fla. 1995).
